Welcome to Rocred, a SaaS software service that allows management of current accounts and transactions for school cafeterias and small businesses. These Terms and Conditions govern the use of our services by individual users (hereinafter referred to as "Users") and cafeteria administrators from schools or organizations (hereinafter referred to as "Administrators"). By using our services, you agree to comply with these Terms and Conditions.

1. Registration and Accounts

1.1 To use our services, Users must register and provide accurate and up-to-date information.

1.2 Administrators must be authorized by the corresponding institution to use our services.

1.3 You are responsible for maintaining the confidentiality of your login credentials and notifying us of any unauthorized use of your account.

2. Use of the Service

2.1 Users can deposit money, view consumption, and place scheduled orders in current accounts.

2.2 Users and Administrators must comply with applicable laws when using our services.

2.3 Under no circumstances will Rocred be liable for any issues caused by misuse of the application.

2.4 Rocred provides product images to Administrators free of license; Rocred is not responsible for the images that Administrators may upload.

3. Intellectual Property

3.1 All intellectual property rights in the software and associated content are owned by Rocred or its licensors.

3.2 Users and Administrators may use the software only for authorized purposes and may not reproduce, modify, or distribute the content without authorization.

4. Billing and Payments

4.1 Rocred uses external payment platforms to manage deposits.

4.2 Rocred does not receive, store, or have knowledge of users' confidential payment information or cards.

4.3 Rocred adheres to electronic billing services complying with the security standards required by AFIP.

5. Cancellation and Termination

5.1 Users may cancel their accounts at any time by following the instructions provided in the service.

5.2 Administrators may unsubscribe at any time provided they do not have outstanding debt for the use of the application.

6. Limitation of Liability

6.1 Rocred and its affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use our services. To the maximum extent permitted by applicable law, Rocred and its affiliates exclude any warranties, express or implied, regarding the accuracy, completeness, quality, reliability, or availability of our services. Users and Administrators understand and agree that the use of our services is at their own risk and discretion. Rocred does not guarantee that our services will be free from interruptions, errors, or defects, nor that any defect will be corrected. Rocred shall not be responsible for any third-party content posted on our services, nor for the acts or omissions of third parties. In no event shall the total liability of Rocred and its affiliates, whether in contract, tort, or any other legal theory, exceed the amount that the User or Administrator has paid for the use of our services. The limitations and exclusions of liability set forth in these terms and conditions shall apply to the maximum extent permitted by applicable law. By using our services, you agree that these limitations of liability are reasonable and fundamental to the existence of Rocred.

Applicable Law

These Terms and Conditions and any dispute related to our services shall be governed and interpreted in accordance with the laws of the Province of Buenos Aires, Argentina, regardless of any conflicts of laws. Any dispute arising in connection with these Terms and Conditions shall be governed by the applicable laws of the Province of Buenos Aires, Argentina.

Dispute Resolution

• Good Faith Negotiation: In the event of any dispute or disagreement between Rocred and the User or Administrator, both parties agree to make a good faith effort to resolve the dispute through direct negotiation.
• Mediation: If the dispute is not resolved through negotiation within a reasonable period, both parties agree to submit the dispute to a mediation process in the City of Buenos Aires in accordance with the mediation rules of the "Center for Mediation and Arbitration of the Argentine Chamber of Commerce and Services" (CIMA).
• Exclusive Jurisdiction: If mediation does not result in a mutually acceptable resolution, any dispute arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of the Province of Buenos Aires and shall be resolved in accordance with the laws of that province.
• Waiver of Jury Trial: Both Rocred and the User or Administrator expressly waive the right to a jury trial in any action or proceeding arising from these Terms and Conditions.
• Legal Costs: In the event of a dispute resulting in legal action, the prevailing party shall be entitled to recover its reasonable costs and attorney's fees.
